Welcome to valcour.co (the “Site”), operated by Valcour LLC (“Valcour,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Site.
1. Scope of These Terms
These Terms govern your use of the Site only. They do not govern any consulting, advisory, or other professional services provided by Valcour. All client engagements are governed exclusively by a separately executed services agreement between Valcour and the client. If there is any conflict between these Terms and a signed services agreement, the services agreement controls.
2. Eligibility
The Site is intended for business users. By using the Site, you represent that you are at least 18 years old and, if acting on behalf of an organization, that you have authority to bind that organization to these Terms.
3. Intellectual Property
All content on the Site, including text, graphics, logos, frameworks, methodologies, diagrams, and software, is the property of Valcour LLC or its licensors and is protected by United States and international intellectual property laws. This includes Valcour's proprietary go-to-market methodologies, systems, and related materials, whether or not marked as proprietary.
You may view and download Site content for your own internal business evaluation. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without our prior written consent. Nothing on the Site grants you any license or right to Valcour's intellectual property, whether by implication, estoppel, or otherwise.
Valcour's products, services, and methods described on the Site may be covered by one or more pending patent applications. Nothing on the Site constitutes a disclosure of, or grants any right to, Valcour's trade secrets or other confidential or proprietary information, all of which remain the exclusive property of Valcour LLC.
“Valcour” and related names, logos, and product and service names are trademarks of Valcour LLC. You may not use them without our prior written consent. All other trademarks appearing on the Site are the property of their respective owners.
4. Acceptable Use
You agree not to:
- Use the Site in any way that violates applicable law or regulation.
- Access the Site through automated means, including bots, scrapers, or crawlers, except standard search engine indexing.
- Attempt to gain unauthorized access to any portion of the Site or its systems.

- Use the Site or any Valcour materials to develop, inform, or benchmark a competing product or service.
- Interfere with or disrupt the Site's operation or security.
- Misrepresent your affiliation with any person or organization.
5. No Professional Advice

It does not constitute business, financial, legal, or other professional advice, and it is not a substitute for advice tailored to your circumstances. You should not act or refrain from acting based on Site content without seeking appropriate professional counsel. No content on the Site creates a client relationship with Valcour.

The Site may contain links to third-party websites or resources. These are provided for convenience only. Valcour does not endorse and is not responsible for the content, products, or services available through third-party sites, and you access them at your own risk.
7. Submissions
If you submit inquiries, feedback, or other materials through the Site, you grant Valcour a non-exclusive, royalty-free, perpetual license to use those materials for business purposes, including improving our services. Do not submit confidential information through the Site. Confidentiality obligations arise only under a signed agreement.
8. Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. VALCOUR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALCOUR LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL VALCOUR'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Valcour LLC and its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.
11. Changes to the Site and These Terms
We may modify, suspend, or discontinue the Site at any time without notice. We may update these Terms from time to time. The “Last Updated” date above reflects the most recent version. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.
13. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms constitute the entire agreement between you and Valcour regarding use of the Site and supersede any prior understandings on that subject.
